STANDARD TERMS AND CONDITIONS FOR EQUIPMENT LEASE

1. Application

Please read these Terms and Conditions set out the terms for Equipment Lease (“Terms of Lease”) carefully before placing an order with Us. These Terms of Lease, together with any other documents referred to herein (unless otherwise stated), set out the terms under which Equipment is rented by Us to consumers through this website, https://filmwithbigstory.com (“Our Site”).
1.1 These Terms of Lease explain who We are, how Our Equipment will be rented to you, how you or We may change, cancel, or otherwise end the Contract, what to do in the event of problems, and other important information.
1.1 These Terms of Lease were last updated 2024/11/20.
1.1 You will be required to read and accept these Terms of Lease when ordering for rent of the Equipment. If you do not agree to comply with and be bound by these Terms of Lease, you will not be able to order or rent of the Equipment through Our site.

2. Interpretation

In these Terms of Lease

Heading

means the contract for the lease of the Equipment, as explained in Clause 4

Delivery Location

means the address stated on the Invoice for delivery of the Equipment

Equipment

means the equipment rented by Us to and specified/described in the Invoice

Hire Period

means the rental period of the equipment as booked by you and confirmed by Us.

Order

means your order for the Services;

Order Number

means the reference number for your Order;

Services

Means our rental of Equipment to you during the Hire Period.

Terms of Lease

means the terms and conditions of lease set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between Us and You;

You/ your

means the person so described in the Invoice; and

We/Us/Our

means BIG STORY PHOTOGRAPHY SERVICES EST, under number Licence No. 1162713, whose registered office is at 104-156, Khalid Shaban Building, Al Garhoud, Dubai.

Writing

includes electronic mail and comparable means of communication.

7. Pricing

7.1 The pricing of the Rental Fees (“Fees”) will be determined by reference to the length of the Hire Period, the type and quantity of Equipment.
7.2 We make all reasonable efforts to ensure that prices shown on Our Site are correct. We may change Fees from time to time. Changes in Fees will not affect any Order that you have already placed.
7.3 All Fees on Our Site does not include VAT. If the VAT rate changes between your Order being placed and Us taking payment, the amount of VAT payable will be automatically adjusted when taking payment.
7.4 All Fees are checked before We accept your Order. If We have shown incorrect Fees information, We will inform you of the mistake in writing.If the correct Fees is lower than that shown when you make your Order, We will simply charge you the lower Fees.If the correct Fees is higher than that shown when you make your Order, We will give you the option to get hired the Equipment at the correct Fees or to cancel your Order (or the affected part of it). We will not proceed with processing your Order in this case until you respond. If you do not respond within 24 hours, We will treat your Order as cancelled and inform you of the cancellation in writing.
7.5 If We mistakenly accept and process an Order where an obvious and unmistakable Fees error has been made, which you could have reasonably recognised as mispricing, We have the right to end the Contract, refund any sums paid, and require you to return the Equipment to Us.
7.6 Delivery charges are not included in the Fees of Equipment shown on Our Site.

10. Camera Assistant

(only if applicable and booked as an add-on)

10.1 If a camera assistant (“Camera Assistant”) is applicable and has been booked as an add-on under these Terms of Lease, we will provide a Camera Assistant to support you. The Camera Assistant will assist with the following functions, which may not be performed solely by the camera operator and are best achieved through collaboration between the Camera Assistant, you, and your team
10.1.1 Camera Equipment Management:
10.1.1.1 Assist in preparing and setting up the camera and associated equipment (lenses, filters, batteries, etc.).
10.1.1.2 Helping to ensure that all camera equipment is working properly and troubleshooting any technical problems.
10.1.1.3 Lens and Filter Changes:
10.1.1.4Assist in changing lenses and filters as required by the shot.
10.1.1.6 Focus Pulling:
10.1.1.7 Adjust the camera lens to maintain sharp focus on the subject during filming.
10.1.1.8 Measure distances and mark positions for actors and camera to ensure precise focus.
10.1.1.9 Note (only applicable if the area is free from hazards and the camera operator can move freely without tripping over the terrain or other objects, as the camera assistant will not operate the focus pull and will be at the side of the camera operator to ensure a smooth operation and minimise any risk to the camera operator and equipment).

10.2 Breaks

10.2.1 If production times coincide with prayer times, Camera Assistant should be allowed up to a 15-minute break for each prayer.
10.2.2 Camera Equipment Man10.1.1 General rest breaks of up to 30 minutes should be provided for the Camera Assistant during the production to ensure that the Camera Assistant is able to give 100 per cent effort. agement:

12. Insurance and Liability

12.1 It is your responsibility to fully and comprehensively insure the Equipment against loss, damage and theft in favour of Us. The value stated for the Equipment shall be as indicated and provided by Us.
12.2 You shall supply proof of such insurance to Us on demand.
12.3 If you don’t take out insurance, We will pay for it and the cost of the insurance will be deducted from the deposit.
12.4 You are liable for any damage or loss of the Equipment during the rental period. In the event of damage or loss, you must pay the total rental amount per day of the damaged or lost items until the Equipment is either repaired, replaced, or paid for by the insurance company.
12.5 We are not responsible for obtaining any permits for shooting on your behalf. In the event the Equipment is confiscated, you must pay the total rental amount per day of the confiscated items until the Equipment is returned to Us.

13. Delivery, Inspection and Acceptance

13.1 All Equipment rented through Our Site will normally be delivered within xxxx calendar days to your Delivery Location after the date of Our Order Confirmation unless otherwise agreed in writing by Us and you.
13.2 We will not be responsible for delays that are outside of our reasonable control. If delivery is delayed for such a reason, We will inform you as soon as possible and will take steps to minimise the impact of the delay.
13.3 If there is a risk of a substantial delay to delivery, you may contact Us to end the Contract and will be refunded any sums paid for Equipment that you have not received.
13.4 If you (or someone on your behalf) are not available at your address to take delivery of the Equipment and they cannot be posted through your letterbox, We will leave a note informing you of how to arrange for redelivery or of where to collect the Equipment.
13.5 If you do not arrange to have the Equipment re-delivered or do not collect them, We will contact you to ask for further instructions.
13.6 We may charge you for storage and for further delivery costs. If, despite Our reasonable efforts, We cannot contact you or cannot arrange for re-delivery or collection of the Equipment, We may end the Contract and issue you with a refund. We may deduct a reasonable sum in compensation for any net costs incurred by Us as a result.
13.7 You shall have the right to inspect the equipment immediately upon arrival of the Equipment at the xxxxxxxxx and for 30 minutes and shall sign the Delivery Acceptance Certificate attached hereto (Appendix 1).

19. Usage Restrictions and Licensing

19.1 No use in hazardous environments, no subleasing.
19.2 Geographical Limits: Dubai only.
19.3 You are responsible for obtaining necessary licensing and approvals for shooting. We are not responsible for any claims against You for failure to obtain necessary approvals.

20. Risks and Reporting Damage

20.1 The risk of loss, theft or damage to the Equipment shall pass to you on your possession of the Equipment and shall remain your sole risk during the Hire Period and any further term during which the Equipment is in your possession. You must report any damage or malfunction immediately to the Equipment.
21.2 We shall be entitled to terminate the Contract in the event that you are in breach of these Terms of Lease.
21.3 In the event of termination for any of the above reasons, all payments required under the Contract shall become due and immediately payable; and We shall have the immediate right to request the immediate return of the Equipment or repossess the Equipment and may charge you for any reasonable costs involved in such repossession.

23. Miscellaneous Provisions

23.1 You may not transfer (assign) your obligations and rights under these Terms of Lease (and under the Contract, as applicable) without Our express written permission.
23.2 The Contract is between you and Us. It is not intended to benefit any other person or third party in any way and no such person or party will be entitled to enforce any provision of these Terms of Lease.
23.3 If any of the provisions of these Terms of Lease are found to be unlawful, invalid or otherwise unenforceable by any court or other authority, that / those provision(s) shall be deemed severed from the remainder of these Terms of Lease. The remainder of these Terms of Lease shall be valid and enforceable.
23.4 No failure or delay by Us in exercising any of Our rights under these Terms of Lease means that We have waived that right, and no waiver by Us of a breach of any provision of these Terms of Lease means that We will waive any subsequent breach of the same or any other provision.
23.5 The rights and remedies herein provided are cumulative and not exclusive of any rights and remedies provided by law.

26. Changes to these Terms of Lease

26.1 We may alter these Terms of Lease from time to time, for example, to reflect changes in relevant laws and regulatory requirements. If We do so, details will be highlighted at the top of this page. If the changes are likely to affect your Order, we will inform you in advance as soon as possible.
26.2 If any part of the current version of these Terms of Lease conflicts with any previous version(s), the current version shall prevail unless We explicitly state otherwise.

27. Governing Law and Jurisdiction

27.1 These Terms of Lease shall be governed by, and construed in accordance with, the laws of Dubai.
27.2 Any dispute, controversy, proceedings or claim between Us and you relating to these Terms of Lease shall fall within the jurisdiction of the courts of Dubai.
25.1 Use of Our Site is subject to Our Website Terms of Use. Please ensure that you have read them carefully, that you understand them, and that you agree with them.

3. Basis of Hire

3.1 You will get hired of the Equipment from Us subject to these Terms of Lease and during the Hire Period.
3.1 These Terms of Lease, together with any other terms referenced herein that are applicable to the Services ordered, constitute the entire agreement between Us and you with respect to your procuring Services from Us.

4. Basis of Hire

4.1 Our Site will guide you through the ordering process. Before submitting your Order to Us you will be given the opportunity to review your Order and amend any errors. Please ensure that you have checked your Order carefully before submitting it.
4.2 No part of Our Site constitutes a contractual offer capable of acceptance. Your Order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acknowledgement of receipt of your Order does not mean that We have accepted it. Our acceptance is indicated by Us sending you an Order Confirmation by email. Only once We have sent you an Order Confirmation will there be a legally binding contract between Us and you (“the Contract”).

4 . 3 Order Confirmations shall contain the following information:

4.3.1 Your Order Number;
4.3.2 Confirmation of the Services ordered;
4.3.3 Fully itemised pricing for the Equipment ordered including, where appropriate, taxes and other additional charges;

4.4 We can also provide a paper copy of the Order Confirmation on request.

4.5 If We, for any reason, do not accept or cannot fulfil your Order, no payment shall be taken under normal circumstances. If We have taken payment, any such sums will be refunded to you as soon as possible and in any event within 15 business days.

4.6 We may cancel your Order at any time before We begin providing the Services.

4.7 If We cancel your and We have taken payment any such sums will be refunded to you as soon as possible and in any event within 15 business days. If We cancel your Order, you will be informed by email you have used, and the cancellation will be confirmed in by email.

4.8 Any refunds due under this Clause will be made using the same payment method that you used when ordering the Services unless you specifically request that We make a refund using a different method.

5. Equipment Hire

5.1 We will hire you the Equipment as more specifically detailed in Our e-invoice per to these Terms of Lease.
5.2 All costs of collection and/or delivery of the Equipment shall be met by you.
4.3.3 Fully itemised pricing for the Equipment ordered including, where appropriate, taxes and other additional charges;

6. Hire Period

6.1 The agreed Hire Period will be as set out in the Invoice.
6.2 If you wish to extend the Hire Period, they may do so at any time prior to the end of the Hire Period. you must contact Us to arrange such an extension. The cost for each additional hour is calculated as 15% of the total order value, divided by the number of rental days. We will use our best and reasonable endeavours to satisfy requests for extensions but cannot guarantee the availability of the Equipment to you beyond the end of the pre-existing Hire Period.
6.3 We reserve the right to recall the Equipment immediately at any time. If We exercise this right, you will be reimbursed for any and all remaining in the Hire Period or will be issued immediately with replacement Equipment of the same type or of the closest type thereto at no additional cost. If the Equipment is not returned to, We on request you shall be deemed to have authorised Us to enter your premises and use any means necessary to recover the Equipment. You shall be charged for any costs associated with such recovery.

8. Payment

8.1 You shall pay Us the Fees as mentioned in Invoice to the payment method as indicated in our order process prior to collection of the Equipment.
8.2 Payments to Us under these Terms of Lease shall be made in full without any deduction, discount, set off or abatement unless required by law.

9. Deposit

9.1 You shall be required to pay a refundable deposit (“Security Deposit”) to Us prior to delivery of the Equipment. The sum of the Security Deposit shall be set out in the Invoice.
9.1 At the end of the Hire Period, We shall have a period of three hours within which to fully inspect the Equipment. In the event that cleaning and / or maintenance is required We shall retain the Security Deposit in full or in part as appropriate and shall provide the reasons for such retention to you in writing, including all relevant calculations and pricing information.

11 . Use, Care and Maintenance of the Equipment

11.1 You agree to use the equipment solely for the purpose of film production and to operate it according to the manufacturer's instructions.
11.2 You confirm that you are experienced in using the videography package and its features, including understanding how to start it up, calibrate, and operate it effectively.
11.3 You shall only use the Equipment for the normal purpose for which it is intended.
11.4 You shall only use the Equipment for legal and legitimate purposes.
11.5 All Equipment must be used in accordance with any and all operation and safety instructions provided.
11.6 Certain items of Equipment may require specialist training prior to use. You must ensure that such training is provided to all your employees (and any other relevant individuals for whom it may be responsible) that will use the Equipment during the Hire Period.
11.7 You shall not affix the Equipment to anything unless using fixings approved by Us.
11.8 You shall at all times treat the Equipment with a reasonable level of care and shall ensure that it is kept clean. You agree to maintain the equipment in good working condition and to return it in the same condition as received.
11.9 You shall not attempt to make any repairs to the Equipment without the prior written consent of Us. When We are contacted in this regard, We shall have the option of repairing the Equipment itself or granting you permission to make the necessary repairs. The cost of such repairs shall be borne by either Us or you, the responsibility being determined by the reasons for those repairs.
11.10 You shall not perform any hardware upgrades to the Equipment of any kind without the prior Our written consent.

14. Return of Equipment.

14.1 You agree to return the Equipment on the End Date as mentioned in Invoice.
14.2 Late returns will incur additional fees of up to 2,500 AED per day.

15. Cancellation Policy and Refunds

15.1 In the event that these Terms of Lease is cancelled or otherwise terminated by You by three (3) days prior to commencement of the Hire Period, you will be eligible for a full refund for the Fees
15.2 In the event that cancellations made by you two (2) days prior to commencement of the Hire Period, you are not eligible for a refund, but rescheduling of the Hire Period is possible based on availability dates provided by the of Us. Any sums already paid to Us shall be non-refundable and you shall further be required to pay to Us (to the extent not already paid) any verifiable costs incurred by Us in connection with the hire of the Equipment and may incur a surcharge at Our sole discretion.
15.3 The Hire Period can only be cancelled and rescheduled for one time as mentioned herein. No further cancellations or rescheduling will be allowed, and Fees will be non-refundable.

16. Indemnification

16.1 You agree to indemnify and hold Us harmless against any and all liability, costs, expenses, claims, damages, or losses arising out of or in connection with any breach by you to any warranties, representations or agreement set out herein or otherwise in relation to the hire and use of the Equipment.

17. Liability

17.1 We will not be liable for any personal injury or damage to property which results from the improper use of the Equipment.
17.2 We will not be liable for any other loss or damage arising out of any circumstances beyond Our reasonable control.
17.3 We will not be liable to any third parties for any acts of you which may involve the Equipment.

18. Late Arrival and Refunds

18.1 If We arrive more than 4 hours late, you will be reimbursed 20% of the Fees. No reimbursement will be made if the delay is due to an accident or circumstances beyond Our control.
18.2 In the event We cannot provide the Equipment as agreed and can't reschedule for another date, a full refund will be issued. All refunds due to you will be made as mentioned in clause 4.

21. Termination

21.1 We shall be entitled to terminate the Contract in the event that you are in breach of these Terms of Lease.
21.2 We shall be entitled to terminate the Contract at any time and without cause and notice.
21.3 In the event of termination for any of the above reasons, all payments required under the Contract shall become due and immediately payable; and We shall have the immediate right to request the immediate return of the Equipment or repossess the Equipment and may charge you for any reasonable costs involved in such repossession.

22. Ownership

22.1 The Equipment shall at all times remain Our property, and you shall have no right, title or interest in or to the Equipment (save the right to use of the Equipment subject to these Terms of Lease). The Equipment is deemed to be on hire for the entire period and under no circumstances will it be considered “For Sale”.

24. Complaints and Feedback

24.1 We always welcome feedback from Our customers and, whilst We always use reasonable efforts to ensure that your experience as a customer of Ours is a positive one, We nevertheless want to hear from you if you have any cause for complaint.
24.2 All complaints are handled in accordance with Our complaints handling policy and procedure.

25. Access to Our Site and Use of Our Site

25.1 Access to Our Site is free of charge.
25.1 It is your responsibility to make the arrangements necessary in order to access Our Site.
25.1 Use of Our Site is subject to Our Website Terms of Use. Please ensure that you have read them carefully, that you understand them, and that you agree with them.

Appendix 1

Delivery Acceptance Certificate

This is the Delivery Acceptance Certificate (“Certificate”) issued with reference to the Terms of Lease ("Terms of Lease ") between BIG STORY PHOTOGRAPHY SERVICES EST, under number Licence No. 1162713, represented hereby by Mr. Saeed Abdulla Saeed Ahmad Bin Huzaim in his capacity as Owner, whose registered office is at 104-156, Khalid Shaban Building, Al Garhoud, Dubai ("We/Us/Our ") and . , under number Licence No. , represented hereby by Mr. in his capacity as , whose registered office is at ("You/ your ").

Delivery Acceptance Date: xxxxxxxxxxx

The terms used herein, which are defined in the Terms of Lease, shall have the same meanings as are provided therefore in the Terms of Lease. You hereby represent, warrant and confirm to Us that :

1. Acknowledgment of Receipt
The Equipment as identified on the attached e-invoice has been duly delivered to you at the Delivery Location mentioned in your e-invoice under order no. XXXXXXX.

2. Inspection and Acceptance
‍You has duly inspected and tested the Equipment and is in good operating order and condition, free from defects or damage, and is in all respects satisfactory to the undersigned and complies with all terms of Terms of Lease and that you hereby accept the Equipment as being in accordance with specifications, without defect or inherent vice in condition, design, operation, or fitness for use, whether or not discoverable by you as of the date, provided.The Equipment as identified on the attached e-invoice has been duly delivered to you at the Delivery Location mentioned in your e-invoice under order no. XXXXXXX.

3. Confirmation of Operation
‍You confirm that you have tested the Equipment and that it is functioning correctly as of the start of the Hire Period. Any issues discovered after the start of the Hire Period will be the responsibility of you unless it can be demonstrated that the issues existed prior to the Hire Period and were not identified during the initial inspection.The Equipment as identified on the attached e-invoice has been duly delivered to you at the Delivery Location mentioned in your e-invoice under order no. XXXXXXX.

4. Acknowledgment of Receipt
The Equipment as identified on the attached e-invoice has been duly delivered to you at the Delivery Location mentioned in your e-invoice under order no. XXXXXXX.

5. No defect or unfitness of the equipment shall relieve you of the obligation to pay Rental Fees or of any obligation under the Terms of Lease.

6. 1. You also acknowledge that We have made no representation or warranty of any kind, nature or description, express or implied with respect to the operation, use or performance of the Equipment.

5. 1. We shall have no liability to you or any person whomsoever for any claim, loss, damage, or expense (including attorney fees) of any kind or nature, whether special, consequential, economic or otherwise, caused or alleged to be caused directly, indirectly, incidentally or consequentially by the Equipment or any part thereof or products therefrom, by any inadequacy of the equipment or defect or deficiency therein, by any incident whatsoever arising in strict liability or otherwise from Our or your negligence or otherwise, by the use or maintenance thereof, servicing or adjustment thereto, or for any interruption of service or loss of use of the Equipment, or for any loss of business or damage whatsoever, and howsoever caused, or arising out of these Terms of Lease, you shall indemnify and hold harmless from and against any and all claims, costs, expenses, damages, losses, liabilities incurred or suffered by Us, you or any other party in connection with the delivery, operation, use or performance of the equipment, or as a result of any incidental or consequential damages (including strict liability in tort). Further, you understand and agree that there shall be no abatement of rent during any period of breakdown or nonuse of the Equipment.

By signing below, you hereby acknowledge and agree that by doing this you are accepting delivery of the Equipment in advance of it being shipped. You are fully responsible for all Terms of Lease.
